Terms of Service
1) Acceptance of Terms
By accessing or using Gildsafe’s website, mobile app, products, or services (collectively, the “Services”), you agree to be bound by these Terms & Conditions (“Terms”) and our Privacy Policy. If you do not agree, do not use the Services.
2) Who We Are
Gildsafe, LLC (“Gildsafe,” “we,” “us,” or “our”) provides tools and services designed to improve the the chance of recovery of loss or theft of luxury goods (including handbags, watches, and jewelry). We started Gildsafe after hearing hundreds of stories from clients who were robbed of or lost meaningful, irreplaceable pieces. We are not an insurer or a security company and we do not guarantee prevention of theft or loss or recovery of any items registered with GildSafe.
3) Eligibility & Accounts

You must be at least 18 years old (or the age of majority where you live).

You’re responsible for maintaining the confidentiality of your account credentials and all activity under your account.

You agree to provide accurate information and to keep it current.
4) Our Services
Gildsafe may offer a combination of:

Software features (e.g., item cataloging, documentation storage)

Hardware or accessories (if applicable) intended to aid deterrence or recovery.

Third-party integrations (e.g., insurance partners, registry services, or device tracking, where available).

Broadcasting of stolen or lost goods to a community of luxury resellers.
No Guarantee. Our Services are assistive. They are meant to help in the recovery of items. You acknowledge that recovery may and can still not occur even when the Services are used as intended.
5) User Responsibilities
You agree to:

Use the Services lawfully and follow all safety instructions and best practices we provide.

Maintain accurate, up-to-date records of your items (photos, serial numbers, receipts) where you use our cataloging features.

Comply with all local laws when using any tracking, recording, or alarm features.

Obtain all necessary permissions before monitoring or tracking items you don’t solely own.

Not rely on the Services as your sole security measure; use common-sense precautions (secure storage, situational awareness, insurance, etc.).

6) Prohibited Uses
You may not:

Reverse engineer, copy, or modify the Services;

Interfere with the Services or attempt to access them without authorization;

Upload unlawful, infringing, or harmful content;

Use the Services to harass, stalk, or otherwise violate others’ rights or privacy.
7) Third-Party Services & Links
The Services may link to or integrate with third-party sites, devices, or services (including insurers or registries). Gildsafe does not control those third parties and is not responsible for their content, performance, or policies. Your use of third-party services is governed by their terms.
8) Purchases, Subscriptions, Trials & Refunds

Pricing. Fees are displayed at checkout or in-app and may change prospectively.

Subscriptions. If you enroll in a subscription, you authorize recurring charges until you cancel.

Trials/Promotions. Trial periods convert to a paid plan unless you cancel before the trial ends.

Refunds. Unless required by law or stated otherwise at purchase, fees are non-refundable.

Taxes & Shipping. You’re responsible for applicable taxes and shipping if applicable (for any physical products).
9) Shipping, Risk of Loss (Physical Products)
For any physical products, title and risk of loss pass to you upon delivery to the carrier. Inspect shipments promptly and notify us of issues within 14 days.
10) Intellectual Property
All content, trademarks, logos, and software comprising the Services are owned by or licensed to Gildsafe and protected by law. You receive a limited, non-exclusive, non-transferable license to use the Services for personal, lawful purposes. No other rights are granted.
11) Your Content & Feedback
By uploading content (e.g., item photos, receipts, serial information), you grant Gildsafe a worldwide, non-exclusive, royalty-free license to host, process, and display it solely to provide and improve the Services. You represent you have all rights needed to grant this license. If you submit feedback or suggestions, we may use them without restriction or compensation.
12) Privacy & Data Security
We process personal data per our Privacy Policy. You’re responsible for safeguarding your account and devices. You acknowledge that internet transmissions may not be 100% secure.
13) Disclaimers

No Warranty. The Services are provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, or reliability.

Recovery improvement, Not Guaranteed. Gildsafe does not guarantee prevention of theft, loss, or recovery of any items. Outcomes depend on factors outside our control (e.g., criminal acts, user behavior, law-enforcement response, third-party services).
14) Limitation of Liability
To the maximum extent permitted by law, Gildsafe and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits; loss of data; property loss; or personal injury arising from or related to the Services, even if advised of the possibility.
Our total aggregate liability for any claim relating to the Services shall not exceed the amounts you paid to Gildsafe in the 12 months preceding the event giving rise to the claim, or $100, whichever is greater. Some jurisdictions do not allow certain limitations; in those cases, only the limits permitted by law apply.
15) Indemnification
You agree to indemnify, defend, and hold harmless Gildsafe from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Services, violation of these Terms, or infringement of any third-party right.
16) Changes to the Services & Terms
We may modify or discontinue parts of the Services at any time. We may update these Terms occasionally; the “Last updated” date will change. If changes are material, we’ll provide reasonable notice (e.g., via email or in-app). Continued use after changes means you accept the updated Terms.
17) Suspension or Termination
We may suspend or terminate your access for any violation of these Terms or suspected fraudulent or unlawful activity. You may stop using the Services at any time. Sections that by nature should survive (e.g., IP, disclaimers, liability limits, indemnity, governing law) will survive termination.
18) Governing Law; Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules.
Informal Resolution. Contact us first at info@gildsafe.com to try to resolve disputes informally.
Arbitration. Any dispute not resolved informally within 30 days will be finally settled by binding arbitration administered by JAMS under its Rules. Arbitration will occur in Miami-Dade County, FL, in English, before a single arbitrator. Class actions are waived—you may only bring claims individually.
Injunctive Relief. Either party may seek temporary or preliminary injunctive relief in court to protect IP or confidential information.
19) International Use
We make no representation that the Services are appropriate or available in all locations. You’re responsible for compliance with local laws.
20) Severability & Entire Agreement
If any provision is found unenforceable, the remaining provisions remain in effect. These Terms, together with our Privacy Policy and any order forms or supplements you accept, constitute the entire agreement between you and Gildsafe regarding the Services.
